Company registration
A Step-by-Step
Step 1: Court registration
Before the company is registered with the court, a notary or lawyer prepares the deed of incorporation. Depending on the number of founders, this includes either a decision of incorporation or a contract of incorporation. To file with the court, you will need a rented business premises, a company name, a managing director and a share capital of at least 1,000 KM, with each shareholder contributing at least 100 KM. Duration: Approximately 10 days, but in some cases it can take longer, so patience is necessary.Step 2: Making the company stamp
After successful court registration, a company stamp must be made that matches the information in the court decision. This usually only takes a few hours and costs about 50 KM.Step 3: Choosing an accountant
The accounting must be done by a certified accountant of your choice. This will be of great help to you, especially in the following steps of setting up the company.Step 4: Register with the tax authority
Fill out forms PPL1 and RPO1 to obtain a tax identification number and business classification. Duration: Usually 1 day.Step 5: Open a bank account
A bank account for the company can be opened at a bank of your choice. You can also open multiple accounts, but one of them must be the main account. Required documents: Application form, signature sample, copy of court order, tax identification number, business classification, copy of passport and proof of residence registration. Duration: A few days, depending on the bank.Step 6: Register the director and employees
If the director is from abroad, a work permit is required. Form JS 3100 must be submitted to the relevant tax office. The director does not necessarily have to be an employee of the company as long as the company has at least one employee.7th step: Registering operations with the municipality
It is necessary to obtain an operating license from the municipality where the company is located. This requires submitting applications and proving the minimum requirements for business operations. Duration: 2-3 days, depending on the municipality.8th step: Fiscalization
Set up a fiscal POS system by signing a contract with an authorized IT service provider and obtaining the necessary equipment. Duration: Depends on the availability of the service provider and the delivery time of the equipment.Final step: Starting business operations in Bosnia and Herzegovina
After all legal and administrative steps are completed, the company can start selling goods, producing or providing services. Once the turnover reaches 100,000 KM, you must register for VAT.
